1. Acceptance and operator
These Terms are an agreement between you and MONDOIR L.L.C-FZ, Meydan Free Zone, Dubai, United Arab Emirates, operating as Artpraisal. By accessing or using the website, submitting a request, accepting portal access or using an online service, you agree to these Terms and the Privacy Notice.
If you act for a company, estate, trust, family, insurer, adviser, owner or other person, you confirm that you have authority to act for and bind that person where applicable. If you do not agree, do not use the service.
2. Eligibility
You must be at least 18 years old and legally capable of entering an agreement. You must provide accurate information and use the services only for lawful purposes.
3. Website information, inquiries and appraisal engagements
The website provides general information about fine-art appraisal and a way to request contact. Website content is not an appraisal, quotation, engagement, offer, professional opinion or promise to accept work.
Submitting a request does not create an appraiser-client relationship. An appraisal engagement begins only when scope, intended use, intended users, value type, effective date, property, fees and other terms are agreed in writing. A signed proposal, engagement letter or report-specific terms may supplement these Terms. If an engagement agreement conflicts with these website Terms on the appraisal assignment, the engagement agreement controls.
We may accept, decline, pause or refer an inquiry where the assignment falls outside our competence, independence, availability, legal authority or agreed scope.
4. Appraisal-specific limitations and disclaimers
Purpose-specific opinion, not a universal price
An appraisal conclusion applies only to the identified property, value type, effective date, intended use, intended users, market, assumptions, limiting conditions and scope stated in the report. It must not be treated as a current value for a different date or purpose.
No guaranteed transaction result
An appraisal is an opinion, not a guarantee of a sale price, auction result, insurance settlement, tax outcome, court decision, financing decision or future market performance. Markets, exchange rates, condition, attribution and available evidence can change.
Not legal, tax, financial, investment or insurance advice
Neither the website nor an appraisal report provides legal, tax, accounting, investment, financial-planning, insurance-coverage or loss-adjusting advice. Clients and intended users must obtain advice from appropriately qualified professionals for those matters.
No title, authenticity or provenance guarantee unless expressly agreed
Unless the written scope expressly provides otherwise, we do not guarantee legal title, ownership, authenticity, authorship, attribution, provenance, cultural-property status, intellectual-property rights, freedom from liens, exportability or lawful transfer. Identification and attribution may rely on information supplied by the client and available sources.
No antiquities, export or transfer clearance
An appraisal is not an antiquities registration, customs decision, export permit, transfer clearance, sanctions determination or certificate under UAE federal law, Dubai law or any other jurisdiction. Obtain specialist legal and regulatory advice before moving or transferring regulated property.
Inspection and information limitations
A report will state whether property was personally inspected, remotely reviewed or appraised from records. Undisclosed damage, restoration, inaccessible components, incomplete provenance, inaccurate measurements or withheld information may affect the conclusion. We are not responsible for defects or facts that could not reasonably be identified within the agreed scope.
Reliance is restricted
Only the client and intended users identified in a report may rely on it, and only for the stated intended use. No third party acquires reliance rights merely by receiving, purchasing, quoting or viewing a report. Written permission does not expand the report’s purpose, effective date or assumptions.
5. Your responsibilities
You agree to provide complete and accurate information, disclose known damage, restoration, restrictions, disputes and relevant provenance, and promptly correct material errors. You confirm that you own the submitted material or have permission to provide it and instruct us regarding the property.
You must not ask us to misstate facts, conceal a conflict, predetermine a value, create a misleading report, evade legal requirements or support unlawful conduct. You are responsible for obtaining independent legal, tax, insurance and other specialist advice required for your intended use.
6. Accounts, access codes and client portals
Portal access is personal or organisation-specific. Keep email access, one-time codes, authenticator credentials, project links, access codes and exported files confidential. You are responsible for activity under access you control and must notify us promptly of suspected compromise.
You may not share access with unauthorised persons, bypass controls, probe for another project, scrape the service, interfere with security, upload malware or use automated tools in a manner that burdens the service.
Portal availability, included access periods, renewal fees and archival terms may be stated in an engagement or subscription notice. Where a portal is archived, access may end while underlying appraisal records remain subject to professional, contractual and legal retention duties.
7. Fees, invoices and taxes
Appraisal fees, expenses, payment milestones, taxes and cancellation terms are quoted separately for each engagement. Unless stated otherwise in writing, website access does not include an appraisal and no fee is due merely for submitting an inquiry.
Portal or record-access fees, where applicable, are invoiced offline under the applicable engagement or renewal notice. The website does not currently process payment cards or automatically renew paid subscriptions.
8. Materials and intellectual property
You retain ownership of materials you lawfully provide. You grant us a limited, non-exclusive licence to host, copy, analyse, transform and share those materials only as reasonably needed to evaluate the request, perform the engagement, secure the service, comply with retention duties and exercise legal rights.
Artpraisal and its licensors retain rights in the website, brand, software, report templates, compilation, layout, research structure and pre-existing methods. Subject to full payment and the report’s stated restrictions, the client may use the final report for its identified intended use. No one may alter a report, remove qualifications, publish a misleading extract, imply endorsement, resell it as a general-purpose valuation or use it to train an AI model without written permission.
9. Confidentiality and privacy
We handle personal data as described in the Privacy Notice. Appraisal confidentiality, permitted disclosures and intended users may also be defined in the engagement and report. You are responsible for ensuring that you may lawfully disclose information about owners, beneficiaries, representatives and other persons.
10. Third-party services and links
The service may depend on hosting, storage, email, authentication, research and AI providers and may link to external sources. Third-party services are governed by their own terms. We do not control external content, availability or security and do not endorse a source merely by citing or linking to it.
11. Availability and changes to the service
We use reasonable care to operate the service, but do not promise uninterrupted, error-free or permanently available access. Maintenance, security incidents, provider failures, legal restrictions or force-majeure events may interrupt access. We may modify or discontinue website or portal features while preserving records as required by an engagement or law.
12. Website warranty disclaimer
To the maximum extent permitted by applicable law, the website and online portal are provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability. This clause does not reduce any express professional duty or commitment stated in a signed appraisal engagement or final report.
13. Limitation of liability
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by negligence where applicable.
Subject to that sentence and to the maximum extent permitted by law, neither party is liable under these website Terms for indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, opportunity, goodwill or anticipated savings.
For claims arising solely from the website or online portal technology, our aggregate liability will not exceed the portal-technology fees paid to us during the 12 months before the event giving rise to the claim. If no separate portal-technology fee was paid, the aggregate cap is AED 1,000.
This website liability cap does not govern appraisal opinions or other professional services. Liability and remedies for professional services are governed only by the applicable signed engagement, report-specific agreement and mandatory law; no AED 1,000 professional-services cap is created by these website Terms.
14. Suspension and termination
You may stop using the website at any time, subject to obligations under an active engagement. We may suspend or terminate online access where reasonably necessary for security, non-payment, unlawful use, material breach, protection of another client, legal compliance or discontinuation of a service. Where practicable, we will give notice and a reasonable opportunity to remedy a remediable breach.
Termination does not affect accrued payment obligations, report restrictions, intellectual-property rights, confidentiality, retention duties, liability provisions or clauses intended to survive.
15. Changes to these Terms
We may update these Terms to reflect service, provider or legal changes. The effective date identifies the current version. Material changes will be posted on the website and, where appropriate, notified to affected portal users. Continued use after the effective date constitutes acceptance of the updated Terms; changes do not retroactively alter a signed engagement unless agreed in writing.
16. Governing law and exclusive jurisdiction
These Terms and any non-contractual obligations arising from them are governed by the laws of the Dubai International Financial Centre. The courts of the Dubai International Financial Centre have exclusive jurisdiction to settle disputes arising from or connected with these Terms, subject to any different dispute-resolution clause expressly agreed in a signed appraisal engagement.
17. General terms
If a provision is unlawful or unenforceable, it will be limited or removed to the minimum extent necessary without affecting the remainder. A failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent; we may assign them as part of a lawful business reorganisation or transfer. These Terms, the Privacy Notice and any applicable signed engagement form the relevant agreement for their respective subject matter.
